(\u00ab First Phosphate \u00bb ou la \u00ab Soci\u00e9t\u00e9 \u00bb) est heureuse d'annoncer la cl\u00f4ture des tranches finales de son financement par placement priv\u00e9 sans courtier (l\u2019\u00ab Offre \u00bb) annonc\u00e9 pr\u00e9c\u00e9demment.\u00a0<\/p>

La soci\u00e9t\u00e9 avait relev\u00e9 le plafond de son placement priv\u00e9 de 2 millions de dollars (annonc\u00e9 le 28 novembre 2022) \u00e0 3,4 millions de dollars afin de r\u00e9pondre \u00e0 l'int\u00e9r\u00eat accru des investisseurs.<\/p>

Le 30 d\u00e9cembre 2022, la Soci\u00e9t\u00e9 a \u00e9mis 1 250 000 d\u2019unit\u00e9s accr\u00e9ditives (\u00ab Unit\u00e9s FT \u00bb) (telles que d\u00e9finies dans le communiqu\u00e9 de presse de la Soci\u00e9t\u00e9 dat\u00e9 du 28 novembre 2022) dans le cadre des tranches finales de l'Offre totalisant un produit brut de 500 000 $. Le 17 janvier 2023, la Soci\u00e9t\u00e9 a \u00e9mis 1 574 784 d\u2019unit\u00e9s directement chiffrables (\u00ab Unit\u00e9s HD \u00bb) (telles que d\u00e9finies dans le communiqu\u00e9 de presse de la Soci\u00e9t\u00e9 dat\u00e9 du 28 novembre 2022) pour un produit brut de 551 174,40 $. Dans le cadre de cette derni\u00e8re tranche, la Soci\u00e9t\u00e9 a pay\u00e9 une commission en esp\u00e8ces de 26 264 $ et a \u00e9mis 75 040 bons de souscription compensatoires (tels que d\u00e9finis dans le communiqu\u00e9 de presse de la Soci\u00e9t\u00e9 dat\u00e9 du 27 d\u00e9cembre 2022).<\/p>

Le produit de l'Offre devrait \u00eatre utilis\u00e9 \u00e0 des fins g\u00e9n\u00e9rales de fonds de roulement et pour les activit\u00e9s d'exploration. Tous les titres \u00e9mis dans le cadre de l'Offre sont soumis \u00e0 une p\u00e9riode de d\u00e9tention l\u00e9gale de quatre mois et un jour. En outre, les actions \u00e9mises dans le cadre de l'Offre sont soumises \u00e0 un blocage contractuel dont le calendrier de lib\u00e9ration s'\u00e9tend sur 12 mois suivant l'inscription des Actions de la Soci\u00e9t\u00e9 \u00e0 la cote d'une bourse de valeurs.<\/p>

Au total, la Soci\u00e9t\u00e9 a \u00e9mis 5 907 862 d\u2019Unit\u00e9s HD au prix de 0,35 $ par Unit\u00e9 HD totalisant un produit brut de 2 067 751,71 $ et 3 322 000 d\u2019Unit\u00e9s FT au prix de 0,40 $ par Unit\u00e9 FT totalisant un produit brut de 1 328 800 $, et collectivement avec le produit brut global de 3 396 551,71 $ des Unit\u00e9s HD. La commission totale \u00e9tait de 163 379,04 $ et 422 297 bons de souscription \u00e0 titre de prime d'interm\u00e9diaire.<\/p>
